1. Scope
These TCS govern the contractual relationship between Nexora Agency (hereinafter "the Provider") and any individual or legal entity (hereinafter "the Client") using its development, consulting or design services. Acceptance of a quote or signing of an order form constitutes acceptance of these terms.
2. Services
Services are defined in the quote or order form signed by the Client. The Provider undertakes to deliver services in accordance with agreed specifications and within the agreed timeframe.
3. Quotes and Orders
All quotes are valid for 30 days from the date of issue. An order is binding only after signing the order form or quote and receipt of any deposit. The Provider reserves the right to modify its pricing after the quote has expired.
4. Pricing and Payment Terms
Prices are quoted in euros, excluding tax (excl. VAT). VAT is applied at the rate in force. Payment terms are specified in the quote (deposit, schedule, balance on delivery). Late payment will result in penalties of 3 times the statutory interest rate, plus a flat fee of €40 for collection costs.
5. Delivery and Deadlines
Indicated deadlines are given for guidance only. Exceeding deadlines shall not justify cancellation of the order, payment withholding or damages, unless otherwise agreed in writing. The Provider undertakes to inform the Client in the event of foreseeable delay.
6. Deliverables and Intellectual Property
Deliverables are handed over to the Client upon receipt of the balance. Intellectual property rights on deliverables are transferred to the Client after full payment. Materials provided by the Client (texts, logos, images) remain their property. The Provider retains the right to present completed work for professional purposes.
7. Claims
Any claim must be made in writing (email or letter) within 8 days of delivery. After this period, deliverables are deemed accepted without reservation.
8. Confidentiality
Each party undertakes to keep confidential all documents and information exchanged in the course of the engagement. This obligation survives the end of the contract.
9. Termination
In the event of a serious breach by either party, the other may terminate the contract by right after a formal notice has remained without effect for 15 days. In case of termination at the Client's initiative, amounts already paid remain with the Provider.
10. Applicable Law and Disputes
These TCS are governed by French law. Any dispute shall be submitted to the competent courts at the Provider's registered office.
